Kellogg’s® Terms & Conditions for Great Vendor Ideas
Kellogg Company ("Kellogg") embraces and encourages idea creation and sharing with our vendors. We have powerful global brands and substantial resources to work with selected Great Vendor Ideas. But before you can submit your Great Vendor Idea, you need to read and agree to our Terms & Conditions.
In an effort to protect our respective interests, the following terms and conditions contain the complete understanding under which Kellogg will accept a Great Vendor Idea for evaluation. By submitting your Great Vendor Idea, you agree to be bound by the terms and conditions set forth below.
Please remember that a similar or identical idea to the Great Vendor Idea submitted by you may already be known by Kellogg or made available to us through the efforts of our global research and development teams or other resources.
After completing the submission information, you will receive an e-mail confirming that Kellogg received it. We will then review your Great Vendor Idea and will make every effort to timely inform you of the results of our review. Keep in mind that some Great Vendor Ideas may take longer to review than others.
You warrant that you are the owner of the Great Vendor Idea being submitted or have been authorized to submit this Great Vendor Idea by your employer and have all the legal rights necessary to disclose this Great Vendor Idea to Kellogg. You represent that no other party, including, without limitation, a competitor, affiliate or previous or present employer has any rights with respect to the submitted idea. If the Great Vendor Idea is owned jointly, all parties claiming ownership must agree to be bound by these terms and conditions, or alternately by agreeing to these terms and conditions yourself, you represent that you are the sole owner of the Great Vendor Idea or are acting on behalf and with the express consent of all owners of the Great Vendor Idea.
Kellogg will evaluate your Great Vendor Idea only on a non-confidential, no obligation basis, unless you and Kellogg agree otherwise.
Submitting your Great Vendor Idea does not, under any circumstances, establish a confidential relationship or legal obligation between you and Kellogg. If we choose to pursue your Great Vendor Idea, we will contact you and advise you of the next steps. At that time, we may ask you to sign a confidentiality agreement that will allow you and Kellogg to exchange further information.
Only a written contract signed by Kellogg will create any contractual obligation relating to your Great Vendor Idea. No oral discussions or representations will be binding on Kellogg.
By considering a submitted Great Vendor Idea, we are not obligated to pay any compensation to you whatsoever for our use of unpatentable ideas. Further, Kellogg has the unrestricted right to use and disclose any Great Vendor Idea submitted.
Kellogg has no obligation to pay for any Great Vendor Idea that is submitted but not selected.
If your Great Vendor Idea is protected by a patent or copyright, we may decide, in our sole discretion, to negotiate a license with you. Your compensation for such a license will be determined as part of such a negotiation.
All information and materials provided by you in connection with this submission shall be deemed to be part of this initial submission and shall be subject to these Terms & Conditions. Kellogg is not obligated to return any of the materials or information received in connection with your submission.
Your submission will be governed by the laws of the state of Michigan.

ACKNOWLEDGEMENT
I do hereby acknowledge that I have received and read the Kellogg’s Terms & Conditions for Great Vendor Ideas and Acknowledgement and that I understand the contents thereof and I agree to be bound by such terms and conditions with regard to any idea that I may submit to Kellogg for consideration. I intend to be legally bound by said terms and conditions and agree that such terms and conditions shall apply to all additional disclosures made incidental to the original materials submitted.
